Legal terms and conditions governing the use of Helion's services and website.

Please read these Terms of Service carefully before using the Service.

Interpretation and Definitions

Interpretation

Words with an initial capital letter have the meanings defined below, regardless of whether they appear in singular or plural.

Definitions

For the purposes of these Terms:

  • Account means a unique account created for You to access the Service or parts of it.

  • Company (referred to as "the Company", "We", "Us" or "Our") means Helion Labs, an analytics service operated by Lalit Shrotriya, an individual based in Mumbai, Maharashtra, India. Helion Labs is not currently a separate registered legal entity; it is operated as a sole proprietorship.

  • Country refers to India.

  • Device means any device that can access the Service, such as a computer, phone, or tablet.

  • Service refers to the Helion website and the hosted Helion Cloud dashboard, accessible from https://helionlabs.dev and its subdomains.

  • Open Source Software refers to the Helion codebase, published under the GNU Affero General Public License v3.0 (AGPL-3.0), which anyone may self-host independently of the Service.

  • You means the individual, or the company or other legal entity on behalf of which such individual is acting, accessing or using the Service.

Acknowledgment

These Terms govern Your use of the Service and form the agreement between You and the Company. By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not use the Service.

You represent that You are at least 18 years old. The Service is not directed at, and We do not knowingly permit use by, anyone under 18.

Your use of the Service is also conditioned on Your acceptance of Our Privacy Policy, which describes how We collect, use, and protect Your personal information.

Open Source and Self-Hosting

Helion's source code is publicly available and licensed under AGPL-3.0. You are free to download, modify, and run Your own instance of Helion independently of the Company. These Terms apply only to Your use of the hosted Service at helionlabs.dev and its subdomains — they do not apply to, and the Company has no obligations regarding, instances You self-host. Self-hosted use is governed solely by the AGPL-3.0 license.

Your Data

You retain full ownership of all data You submit to the Service, including analytics data collected from Your own websites and applications. The Company claims no intellectual property rights over Your data.

We will never sell, share, or transfer Your data to third parties for advertising or marketing purposes. Your data is used solely to provide and improve the Service for You. See Our Privacy Policy for details on what We collect and why.

The Service Today

Helion Cloud is currently provided free of charge. We do not currently process payments or operate paid Subscriptions, and no Subscription, billing, or refund terms apply to Your use of the Service today.

If We introduce paid plans in the future, We will publish updated Subscription terms here — covering billing, renewal, cancellation, and refunds — before any billing begins, and We will give You reasonable advance notice. Your continued use of the Service after such an update takes effect constitutes Your agreement to it.

User Accounts

When You create an Account, You must provide accurate, complete, and current information. Failure to do so may result in termination of Your Account.

You are responsible for safeguarding the password You use to access the Service and for all activity under Your Account. You agree not to disclose Your password to any third party and to notify Us immediately of any unauthorized use of Your Account.

You may not use a username that impersonates another person or entity, infringes another party's trademark or rights without authorization, or is otherwise offensive, vulgar, or obscene.

Intellectual Property

Excluding content You submit and Our Open Source Software (which is separately licensed under AGPL-3.0), the Service and its original content, features, and functionality are and remain the property of the Company and its licensors, protected by copyright, trademark, and other applicable laws.

Our trademarks and trade dress may not be used in connection with any product or service without Our prior written consent.

The Service may contain links to third-party websites or services not owned or controlled by the Company. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites. We advise You to review the terms and privacy policies of any third-party site You visit.

Suspension and Termination

We may suspend, restrict, or terminate Your Account or access to the Service at any time, at Our reasonable discretion, including where:

  • You breach these Terms or any other applicable policy;
  • Your usage exceeds the fair-use limits of the Service or is abusive (for example, multiple accounts used to circumvent limits, or activity that risks harming the Service or other users);
  • We suspect fraud, unlawful activity, or a security risk; or
  • We are required to do so by law.

Where reasonably practicable, We will attempt to notify You before suspending or terminating Your access. Upon termination, Your right to use the Service ceases immediately. You may terminate Your own Account at any time from Your account settings. We handle data deletion following termination as described in Our Privacy Policy.

Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability to You for any claim arising from Your use of the Service is limited to the amount You paid Us in the 12 months preceding the claim, or INR 5,000, whichever is greater, since the Service is currently provided free of charge.

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of or related to Your use of, or inability to use, the Service.

"AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the Service will be uninterrupted, error-free, or completely secure.

Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to You in full; in such cases, these exclusions apply to the greatest extent enforceable under applicable law.

Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to its conflict-of-law provisions. Subject to the section below on EU/EEA users, the courts of Mumbai, Maharashtra shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

For European Union / EEA Users

If You are a consumer resident in the European Union or European Economic Area, nothing in these Terms deprives You of the protection of any mandatory provisions of the law of Your country of residence.

Disputes Resolution

If You have a concern or dispute about the Service, please contact Us first at hello@helionlabs.dev so We can try to resolve it informally.

Severability and Waiver

If any provision of these Terms is found unenforceable, it will be interpreted to best accomplish its objective under applicable law, and the remaining provisions will remain in full force. Our failure to enforce a right or provision will not be considered a waiver of that right.

Changes to These Terms

We may modify these Terms at any time. For material changes, We will make reasonable efforts to give at least 30 days' notice before the new terms take effect, and will update the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
